Membership Terms

General

This Agreement governs the use of shared workspace facilities provided by Work Spots, Inc. ('Company') by the undersigned member ('Member') under Florida law.

Description of Services

Work Spots provides workspace access, internet, coffee and amenities, secure door access, and conference room booking. All use is subject to this Agreement and incorporated policies.

Membership and Nature of Use

Membership is a revocable, non-exclusive license to use shared areas. No tenancy or leasehold is created.

Access, Security, and Guests

Members must follow access procedures and not share door codes. Guests must be escorted at all times.

Acceptable Use and Conduct

Members may not use Services unlawfully, including harassment, infringement, spam, or network abuse.

Internet and Privacy Notice

Network activity may be monitored for security. Members have no expectation of privacy while using shared networks.

Conference Room Terms

Bookings are time-limited and must be cleaned after use. No-shows may incur charges.

Parking

Parking is for Members or event attendees only. Unauthorized or overnight vehicles may be towed at owner expense.

Insurance Requirements

Business Members must carry $1M/$2M General Liability insurance listing Work Spots, Inc. as Additional Insured. Solo Members are encouraged to carry personal liability coverage.

Property at Member’s Risk

Member property is at their own risk. The Company is not responsible for loss or theft.

Fees, Billing, and Late Charges

Fees are billed monthly in advance. Late payments beyond five days incur a 5% fee. Nonpayment may result in access suspension.

Term, Renewal, and Termination

Agreement renews month-to-month. Either party may terminate with 30 days' notice. The Company may terminate immediately for breach or safety issues.

Damage, Cleaning, and Restoration

Members are responsible for any damage caused to facilities or equipment.

CCTV and Photography Notice

Common areas may be recorded for security purposes, without audio, consistent with Florida law.

Confidentiality

Members shall not disclose confidential information obtained through participation.

Limitation of Liability

Work Spots is not liable for indirect, incidental, or consequential damages. Liability is capped at one month's membership fee.

Indemnification

Members shall indemnify and hold harmless Work Spots, Inc. from claims arising from their actions or violations of law.

Dispute Resolution and Venue

Disputes will be resolved in Citrus County, Florida. The prevailing party is entitled to reasonable attorney fees.

Incorporated Policies

The Internet Use Policy, Firearm and Weapons Policy, and Service Animal Policy are incorporated by reference and binding.

Appendix A: Internet Use Policy

Internet Use Policy

Work Spots Inc. - Membership Policy

Work Spots Inc. provides high-speed internet access to members as part of their membership benefits. To ensure a secure, reliable, and professional environment for all members, clients, and guests, Work Spots Inc. has established the following policy regarding internet use on company premises:

1. Acceptable Use

Internet access is provided for professional, business-related activities. Members agree to use the network in a manner that is lawful, ethical, and respectful of others. Personal browsing should be limited so as not to interfere with professional use by other members.

2. Prohibited Activities

The following activities are strictly prohibited:

* Accessing, downloading, or distributing illegal, pirated, or pornographic material.

* Engaging in hacking, phishing, or other malicious cyber activities.

* Using the network for spamming, bulk unsolicited emails, or similar actions.

* Hosting servers or running peer-to-peer (P2P) file sharing applications that consume excessive bandwidth.

* Attempting to bypass network security measures or access other members' devices or accounts without authorization.

3. Security and Privacy

While Work Spots Inc. takes reasonable steps to provide secure internet access, members are responsible for the security of their own devices, data, and online activity. The network is monitored for security and performance purposes, and Work Spots Inc. reserves the right to take appropriate action in response to any suspicious or prohibited activity.

4. Bandwidth Management

To maintain optimal performance for all members, bandwidth-intensive activities (such as large file transfers, video streaming, or software updates) should be scheduled during off-peak hours whenever possible. Work Spots Inc. reserves the right to limit or throttle bandwidth usage for excessive or disruptive activity.

5. Compliance with Law

Members must comply with all applicable federal, state, and local laws related to internet use. Work Spots Inc. will cooperate with law enforcement in any investigation involving illegal online activity conducted through its network.

6. Acknowledgment

By signing below, the member acknowledges and agrees to comply with this Internet Use Policy as a condition of membership. Failure to comply may result in suspension or revocation of membership privileges.

Appendix B: Firearm and Weapons Policy

Firearm and Weapons Policy

Work Spots Inc. - Membership Policy

Work Spots Inc. recognizes and supports the constitutional right of individuals to keep and bear arms under the Second Amendment of the United States Constitution. However, in order to maintain a professional, safe, and welcoming environment for all members, clients, and guests, Work Spots Inc. has established the following policy regarding firearms and weapons on company premises:

1. Open Carry Prohibited

The open carry or visible display of firearms or weapons of any kind is not permitted on Work Spots Inc. property, including offices, coworking areas, conference rooms, and common spaces.

2. Concealed Carry Permitted

Members who lawfully possess a valid concealed carry permit under applicable Florida law may carry a concealed firearm while on Work Spots Inc. premises, provided that the firearm remains fully concealed and in the member's immediate possession and control at all times.

3. Prohibited Conduct

* Any display, brandishing, or negligent handling of a firearm or weapon will result in immediate removal from the premises and may lead to suspension or termination of membership.

* Firearms may not be stored, displayed, or left unattended on the property under any circumstances.

4. Compliance with Law

Members are responsible for ensuring full compliance with all federal, state, and local firearm laws. Work Spots Inc. reserves the right to cooperate with law enforcement in any investigation related to firearm activity on the premises.

5. Acknowledgment

By signing below, the member acknowledges and agrees to comply with this policy as a condition of membership. Failure to comply may result in suspension or revocation of membership privileges.

Appendix C: Service Animal Policy

Service Animal Policy for Members

Work Spots Inc

Purpose

Work Spots Inc is committed to maintaining an inclusive and accessible environment for all members and guests. This policy establishes the rights and responsibilities of members regarding the presence and conduct of service animals, in accordance with the Americans with Disabilities Act (ADA) and Florida Statute  413.08.

Definition of a Service Animal

A service animal is defined by law as a dog (or, in limited circumstances, a miniature horse) that is individually trained to perform specific work or tasks for a person with a disability. Examples include guiding individuals who are blind, alerting individuals who are deaf, pulling a wheelchair, assisting during a seizure, retrieving items, or performing other tasks directly related to the person's disability.

Note: Animals that provide comfort or emotional support without specific trained tasks are not considered service animals under the ADA or Florida law.

Policy

1. Permitted Access

Service animals are welcome in all common areas of Work Spots Inc that are open to members, guests, or visitors, unless their presence would create a direct safety concern or fundamentally alter the nature of a service.

2. Control and Conduct

* Service animals must remain under the handler's direct control at all times (leash, harness, or verbal command).

* The animal must be housebroken and behave appropriately.

* The handler is responsible for supervision, cleanup, and any damage or disturbance caused by the animal.

3. Permitted Questions

When it is not apparent what service an animal provides, Work Spots Inc staff may ask only:

1. "Is the animal required because of a disability?"

2. "What work or task has the animal been trained to perform?"

Staff may not request medical documentation, identification, or proof of training.

4. Removal of a Service Animal

A service animal may be excluded or asked to leave the premises only if:

* It is out of control and the handler does not take effective action to control it;

* It is not housebroken; or

* It poses a direct threat to the health or safety of others.

The member will still be allowed to remain and receive services without the animal present.

5. Emotional Support Animals (ESAs)

Emotional support, comfort, or therapy animals are not recognized as service animals under the ADA or Florida law. As such, ESAs are not permitted inside Work Spots Inc facilities or member areas where animals are generally restricted. Documentation, letters, or certifications identifying an animal as an ESA will not be accepted for access privileges.

6. Member Responsibility and Liability

Members are responsible for:

* The behavior, supervision, and hygiene of their service animal;

* Repairing or reimbursing any damage caused by the animal; and

* Ensuring the animal's presence does not interfere with the comfort, safety, or well-being of other members.

Work Spots Inc assumes no responsibility for the care, feeding, or supervision of any animal brought onto the property.

7. False Representation

Knowingly misrepresenting an animal as a service animal or emotional support animal is a second-degree misdemeanor under Florida Statute  413.08(9).
